Terms of Service

These Terms of Service ("Terms") are an agreement between you and Caelus Space, Inc. ("Caelus", "we", "us" or "our") governing your access to and use of the website at www.caelus.space, including its pages, content, case studies and materials (together, the "Site"). By accessing or using the Site you accept these Terms; if you are acting on behalf of an organization, you confirm that you are authorized to bind it. If you do not agree, please do not use the Site.

1. Scope of These Terms

These Terms govern the Site only. Caelus's monitoring, analysis and data services (the "Services") are provided under separate written agreements between Caelus and its customers. If there is any conflict between these Terms and a signed agreement, the signed agreement prevails for the Services it covers. Nothing on the Site constitutes an offer capable of acceptance, and no contract for Services is formed through the Site.

2. Nature of the Site Content — No Engineering or Professional Advice

 

The Site describes technology that analyzes satellite radar data to produce early indications of potential ground and structural movement. All content on the Site — including case studies, examples, statistics and maps — is provided for general information only.

  • Site content is not an engineering opinion, a determination that a hazard exists or does not exist, an insurance, legal or investment recommendation, or advice of any kind. Decisions about the safety, condition or treatment of any asset remain the responsibility of qualified professionals, based on certified on-site inspection.

  • Case studies describe specific past events. Several are retrospective analyses performed after the event, showing what the satellite record contained; they are not a promise of future detection, lead time or outcome in any other case.

  • Satellite measurement has inherent limitations — among others, it does not measure beneath dense vegetation, and results vary with terrain, surface conditions and data availability.

  • Viewing the Site, contacting us, or downloading materials does not create a customer, advisory or professional relationship with Caelus.

3. Permitted Use

 

We grant you a limited, revocable, non-exclusive license to access the Site and view its content for lawful business and informational purposes. You agree not to: copy, scrape, harvest or republish Site content except as permitted below; interfere with the Site's operation or security; probe or test its vulnerabilities; misrepresent your affiliation; use the Site to develop a competing service; or use it in violation of applicable law. You may share links to the Site and quote brief excerpts with attribution.

4. Intellectual Property

 

The Site and its content — including text, graphics, movement maps, analysis outputs, the Caelus name, logo and design — are owned by Caelus or its licensors and are protected by intellectual-property laws. Except for the limited license above, no rights are granted to you. Third-party trademarks and referenced publications remain the property of their respective owners.

5. Third-Party Links and Content

 

The Site links to third-party materials — such as scientific publications, open data sources and news coverage — for convenience. Caelus does not control and is not responsible for third-party content, and a link is not an endorsement.

6. Privacy

Information you provide through the Site is handled as described in our [Privacy Policy], which forms part of these Terms.

7. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied — including accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or secure.

8. Limitation of Liability

 

To the maximum extent permitted by law: Caelus and its officers, directors, employees and partners will not be liable for any indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the Site or reliance on its content; and Caelus's total aggregate liability arising from these Terms or the Site will not exceed one hundred US dollars (US $100). Some jurisdictions do not allow certain exclusions, in which case they apply to the fullest extent permitted. Liability under signed Service agreements is governed exclusively by those agreements.

9. Indemnification

You agree to indemnify and hold Caelus harmless from claims, damages and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or violation of these Terms.

10. Changes

We may modify the Site or these Terms at any time. Updated Terms take effect on the "Last revised" date above; material changes will be announced on the Site. Your continued use of the Site after that date constitutes acceptance. We may suspend or terminate access to the Site at our discretion.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

12. General

If any provision of these Terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and Caelus regarding use of the Site.
